Terms of Service

These Terms of Service ("Terms") govern your access to and use of AGTA (AGT Analytics), a SaaS analytics platform for Amazon sellers operated by JUMANT LLC ("Company," "we," "us," or "our"). By creating an account or using AGTA, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using AGTA, you represent that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to comply with these Terms and all applicable laws and regulations. If you are using AGTA on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

AGTA is a software-as-a-service (SaaS) analytics platform designed for Amazon sellers. The Service provides:

• PPC campaign analytics, bid recommendations, and search term intelligence powered by AI.
• Listing health scoring and optimization suggestions.
• Brand analytics, profit tracking, and inventory monitoring.
• AI-assisted insights via integration with Amazon's Selling Partner API (SP-API).
• Chat-based analytics queries powered by the AGTA AI assistant.

We reserve the right to modify, suspend, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration

To use AGTA, you must register for an account using Google OAuth (Google Sign-In). You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You must notify us immediately at info@frankaarias.com if you suspect unauthorized access to your account.

You may not create accounts using automated means or under false pretenses. We reserve the right to suspend or terminate accounts that violate these Terms.

4. SP-API Authorization

AGTA integrates with Amazon's Selling Partner API (SP-API) to access your Amazon seller data. By connecting your Amazon seller account:

• You authorize AGTA to access your SP-API data as specified during the authorization flow.
• You confirm you are the account owner or have authorization to grant this access.
• AGTA processes your SP-API data exclusively on your behalf to provide the Service.
• You may revoke SP-API authorization at any time through your Amazon Seller Central account settings, which will terminate AGTA's access to new data (historical data already processed may be retained per our Privacy Policy).

AGTA's use of SP-API data complies with Amazon's Developer Agreement and Acceptable Use Policy.

5. Subscription and Billing

AGTA is currently in beta. Beta pricing and terms will be communicated to early access users separately. Upon general availability:

• AGTA will be offered on a monthly subscription basis. Pricing will be published at agta.app/pricing.
• Subscriptions are billed in advance on a monthly cycle via Stripe.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Refunds are handled on a case-by-case basis. Contact info@frankaarias.com for refund requests within 7 days of a charge.
• We reserve the right to change pricing with 30 days' advance notice to active subscribers.

6. Acceptable Use

You agree not to use AGTA for any of the following:

• Scraping, harvesting, or bulk-downloading data from AGTA beyond normal product use.
• Unauthorized access to AGTA's API, infrastructure, or another user's data.
• Reselling, redistributing, or sublicensing AGTA data or outputs without express written permission.
• Reverse engineering, decompiling, or attempting to extract AGTA's source code or proprietary algorithms.
• Violating Amazon's Seller policies, SP-API terms, or any applicable law.
• Uploading malicious code, viruses, or engaging in any activity that disrupts the Service.
• Using AGTA to infringe third-party intellectual property rights.

Violation of acceptable use policies may result in immediate account suspension or termination without refund.

7. Intellectual Property

AGTA, including its software, design, algorithms, AI models, branding, and documentation, is owned by JUMANT LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your Amazon seller data remains yours. By using the Service, you grant JUMANT LLC a limited license to process your data solely to provide and improve the Service for you.

Any feedback, suggestions, or ideas you provide about AGTA may be used by us without compensation or attribution to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUMANT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE AGTA.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to JUMANT LLC in the 3 months preceding the claim.

AGTA provides analytics and recommendations for informational purposes. You are solely responsible for any advertising, business, or financial decisions you make based on AGTA's outputs.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Termination

You may cancel your AGTA subscription at any time through your account settings. Access to paid features will continue until the end of the current billing period.

We may suspend or terminate your access to the Service immediately, without notice, if you breach these Terms, violate applicable law, or if we determine in our sole discretion that your use harms the Service or other users. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Service at least 14 days before the changes take effect. Continued use of AGTA after the effective date constitutes acceptance of the revised Terms.
